Terms of Service

1. Acceptance of Terms

These Terms and Conditions, together with any referenced policies, comprise the agreement between CRM CENTRAL Ltd (registration number HE466335), the 'SaaS Provider', and the user, the 'Customer'. By accessing or using our Services via web, mobile, or other interfaces, you confirm that you have read, understood, and agreed to this Agreement and that you possess the authority to bind your organization.

2. Definitions

'Services' encompass the theCRMcentral software platform, web-based SaaS applications, mobile applications for iOS and Android, APIs, features, updates, and documentation. All intellectual property rights in the Services remain with the SaaS Provider.

3. License Grant

The SaaS Provider grants you a limited, non-exclusive, non-transferable, revocable license to access and use the SaaS Services for your internal business purposes during the contract term, restricted to authorized users only.

4. License Restrictions

You must not:

  • Resell, sublicense, assign, transfer, distribute, or provide others with access to the Services

  • Copy, alter, modify, create derivative works from, reproduce, reverse assemble, reverse engineer, reverse compile, or enhance the Services or Software

  • Frame, mirror, or serve the Services on any web server over the Internet or networks

  • Alter, remove, or tamper with any trademarks, patent or copyright notices, or any confidentiality legend

  • Use the Services in any way which is in breach of any statute, regulation, law, or legal right

5. Mobile Application Terms

The mobile application connects to a demo environment for trial purposes only and is:

  • Not connected to any Forex company, trading platform, or real financial services

  • Provided for evaluation and demonstration purposes only

  • Subject to suspension or discontinuation without notice

Apple Inc. and Google LLC bear no responsibility for the mobile application. Users are responsible for device security and internet connectivity. Demo data is temporary and may be deleted at any time.

6. Data

The SaaS Provider receives a limited license to store, process, and analyze data for service delivery, improvement, and legal compliance. You warrant that you have lawful ownership of all data and have obtained necessary consents under the General Data Protection Regulation (GDPR) Law 125(I)/2018.

You are responsible for maintaining your own backups. The SaaS Provider is not responsible for any corruption or loss of data caused by acts or omissions of the Customer.

7. Support and Service Levels

Support is provided during business hours from 9:00 to 17:00, Monday to Friday, excluding public holidays, in accordance with the applicable Service Level Agreement.

8. Security

The SaaS Provider maintains commercially reasonable administrative, technical, and organizational measures to protect all confidential information from unauthorized access, use, copying, or disclosure.

9. Customer Responsibilities

Customers must:

  • Safeguard login credentials and maintain account security

  • Restrict access to authorized personnel only

  • Comply with all applicable laws and regulations

  • Ensure that no one uses the Services to break any law, infringe any rights, or transmit harmful content

  • Use reasonable endeavors to ensure the integrity of data

You are responsible for all users accessing the Services, including your personnel and any authorized users. Use of the Services is at your own risk.

10. Payment

Fees are payable in accordance with the payment schedule outlined within the Service Level Agreement in place between the Customer and the SaaS Provider.

11. Confidentiality

Each party must keep confidential, and not use or permit any unauthorized use of, all confidential information of the other party. This obligation does not apply to information that enters the public domain (other than by breach), is disclosed with prior written consent, is required by law, or is disclosed to a professional adviser for the purpose of obtaining advice.

12. Privacy

Both parties comply with obligations under the General Data Protection Regulation (GDPR) Law 125(I)/2018 and any other applicable legislation or privacy guidelines regarding personal information. The SaaS Provider will take all reasonable steps to notify the Customer of any actual, threatened, or suspected breach of data involving personal information.

13. Indemnity and Limitation of Liability

The SaaS Provider excludes liability for indirect, incidental, or consequential losses, including but not limited to loss of profit, loss of revenue, loss of business, loss of goodwill, loss of opportunity, loss of savings, loss of reputation, loss of use, and loss or corruption of data.

The Customer indemnifies and holds the SaaS Provider harmless from any claims arising from misuse of the Services, unauthorized access, or breach of these Terms.

14. Term and Termination

The agreement takes effect from the Effective Date of the Service Level Agreement and continues for an initial term of 12 months. Either party may notify at least 30 business days prior to the expiry of the current contract year of non-renewal, or the agreement is automatically renewed for another 12-month period.

15. Subcontracting

CRM Central LTD may engage domestic and international service providers to support the provision of the Service. All service providers must meet an adequate level of professionalism, data privacy, and protection.

16. Third-Party Links

Our Services may contain links to third-party websites not owned or controlled by the SaaS Provider. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

17. Independent Legal Advice

Each party acknowledges that it has had an opportunity to read this Agreement, agrees to its terms, and has been provided with the opportunity to seek independent legal advice.
